The **Senior Corporate Lawyer** will be responsible for advising on and leading international corporate legal matters, ensuring regulatory compliance across multiple jurisdictions. This position focuses on cross-border negotiations and structuring financings with global investors, integrating legal, tax, and regulatory considerations into each transaction. Additionally, the role will actively support **mergers and acquisitions (M&A)** processes and conduct **due diligence** for both potential investors and acquisition targets of the company, ensuring mitigation of legal risks. **Key Responsibilities:** * Lead **cross-border** negotiations in corporate transactions and international financings, including **syndicated**, **subordinated**, and **project finance** arrangements, safeguarding the company’s interests. * Advise on the **legal structuring** of international transactions, considering applicable laws (including basic knowledge of New York State law for international contracts) and ensuring compliance with local and foreign regulations. * Coordinate and execute comprehensive **legal due diligence** processes: review corporate, contractual, tax, and regulatory documentation of target companies in mergers/acquisitions, identifying risks and proposing mitigants. Also prepare and facilitate due diligence to be conducted by third-party investors on the company. * Analyze the **tax** and regulatory implications of corporate operations and the company’s international corporate structure, collaborating with the tax team to optimize strategies and ensure legal compliance across all jurisdictions. * Draft, review, and **negotiate complex contracts** in Spanish and English (e.g., investment agreements, credit agreements, share purchase agreements, shareholders’ agreements, among others), ensuring they accurately reflect agreed terms and protect the company’s interests. * Stay current on **Mexican corporate and financial legislation**, as well as New York Law, to provide accurate business advice for each project. **Requirements and Experience:** * **Education:** Bachelor’s degree in Law with professional license (mandatory). * **Experience:** Minimum 5–7 years of experience in corporate, transactional, or financial law. Demonstrable experience leading **mergers and acquisitions** and **international financings**, participating in the full lifecycle of such transactions (from due diligence and negotiation through closing), integrating legal aspects with tax and regulatory considerations. * **Legal Knowledge:** In-depth knowledge of Mexico’s corporate and financial legal framework. Familiarity with New York State law at a basic/intermediate level (particularly regarding commercial contracts and international financings), as well as understanding of international corporate structures.
